ScoutBase Terms of Use

Effective Date: April 14, 2026

1. Acceptance of Terms

By downloading, installing, or using the ScoutBase mobile application ("App"), you agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you and Golf Social Inc, doing business as ScoutBase ("ScoutBase," "we," "us," or "our").

If you do not agree to these Terms, do not use the App. We reserve the right to update these Terms at any time. Continued use of the App after changes are posted constitutes your acceptance of the updated Terms.

2. Eligibility

To use ScoutBase, you must:

Be at least 18 years of age.
Be a current or former professional hockey player, licensed sports representative or agent, team scout, or other professional operating in the professional hockey industry.
Have received a valid invitation from an existing ScoutBase member or from ScoutBase directly.
Provide accurate and truthful information during registration and throughout your use of the App.

ScoutBase reserves the right to verify your eligibility and to reject or terminate any account that does not meet these requirements.

3. Account Registration and Verification

Invite-Only Access
ScoutBase is an invite-only platform. You may only register for an account using a valid invite link received from an existing member or from ScoutBase. Invite links are non-transferable and may only be used by the intended recipient.

Account Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at admin@scoutbase.pro if you become aware of any unauthorized use of your account. ScoutBase is not liable for any loss resulting from unauthorized use of your account.

Verification
ScoutBase offers a verification program for users who wish to confirm their professional status. Verification is granted at ScoutBase's sole discretion following review of submitted materials. Verified status may be revoked if we determine your information is inaccurate or your professional status has changed.

Account Information
You agree to provide accurate, current, and complete information when creating your account and to update your information as necessary. ScoutBase reserves the right to suspend or terminate accounts that contain false or misleading information.

4. Acceptable Use

You agree to use ScoutBase only for lawful purposes and in accordance with these Terms. You agree not to:

Create a false identity, impersonate any person or entity, or misrepresent your affiliation with a team, agency, or organization.
Post or transmit any content that is false, misleading, defamatory, harassing, abusive, threatening, obscene, or otherwise objectionable.
Use the platform to solicit money, financial transactions, or engage in any commercial activity outside of its intended purpose of professional hockey networking.
Spam, solicit, or send unsolicited messages to other users.
Attempt to gain unauthorized access to any part of the App, other user accounts, or our systems.
Use automated tools, bots, scrapers, or other means to extract data from the App.
Violate any applicable local, state, national, or international law or regulation.
Interfere with or disrupt the integrity or performance of the App.

Violation of these rules may result in immediate account suspension or termination without notice.

5. Content and Intellectual Property

Your Content
You retain ownership of all content you upload to ScoutBase, including profile photos, videos, biographical information, and messages ("User Content"). By submitting User Content, you grant ScoutBase a limited, non-exclusive, royalty-free license to store, display, and deliver your content within the App solely for the purpose of operating the platform and providing services to you and other users.
We will not use your photos, videos, or personal information for external marketing or promotional purposes without your explicit written consent.

ScoutBase Intellectual Property
The ScoutBase name, logo, design, and all related trademarks, service marks, and trade names are the exclusive property of Golf Social Inc. The App and its underlying technology, including software, code, interfaces, and documentation, are protected by copyright and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App or its content without our prior written permission.

Copyright Infringement
If you believe content on ScoutBase infringes your copyright, please contact us at admin@scoutbase.pro with a description of the allegedly infringing content and your contact information.

6. Privacy

Your use of ScoutBase is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to the collection and use of your information as described in the Privacy Policy.

7. Paid Features

ScoutBase may offer paid features, subscriptions, or premium tiers in the future. If and when paid features are introduced, separate pricing and payment terms will be presented to you at that time. Any payments made will be governed by those additional terms. We will never charge you without your explicit consent.

8. Termination

Termination by You
You may delete your account at any time through Settings > Delete Account in the App. Termination of your account does not relieve you of any obligations incurred before termination.

Termination by ScoutBase
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason including but not limited to violation of these Terms, fraudulent or illegal activity, or harm to other users or the platform.
Upon termination, your right to access the App ceases immediately. Data retention following termination is governed by our Privacy Policy.

9. Disclaimers

ScoutBase is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee that the App will be uninterrupted, error-free, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content on the platform.
ScoutBase is a networking platform. We do not facilitate, guarantee, or broker any employment, contract, or business transaction between users. Any agreements reached between users are solely between those parties.

10. Limitation of Liability

To the fullest extent permitted by applicable law, ScoutBase and Golf Social Inc, including its officers, directors, employees, and agents, shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App, including but not limited to lost profits, lost data, or loss of goodwill, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising from or related to these Terms or the App shall not exceed the greater of (a) the amount you paid to ScoutBase in the twelve months preceding the claim, or (b) one hundred dollars ($100).

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Utah County, Utah, and you consent to personal jurisdiction in those courts.

12. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ScoutBase regarding your use of the App and supersede any prior agreements or understandings.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes through the App or by email. Your continued use of ScoutBase after the effective date of updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the App and delete your account.
